Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of services provided by Naiyuan Mart ("we", "us", "our"), including sourcing, procurement, OEM/ODM manufacturing, supplier verification, freight, and payment facilitation. By engaging our services or using our websites and client portal, you ("Client", "you") agree to these Terms.

2. Services

We act as your agent in identifying, vetting, and coordinating with Chinese suppliers. Specific deliverables, pricing, and timelines for each project are agreed in writing (through our portal, invoices, or email) before work begins. We are not the manufacturer of the goods we help you source unless explicitly stated.

3. Fees and payment

  • All fees are stated in the currency shown on the relevant invoice (RMB, USD, or NGN).
  • Invoices are valid only for the period stated on them. Prices may change after expiry due to exchange rate fluctuations.
  • Deposits and service fees are due before work commences on any stage.
  • Bank transfer is our standard payment method. Details are provided on each invoice.
  • You are responsible for all transfer fees, taxes, and duties imposed by banks or authorities.

4. Supplier relationships

We negotiate with factories on your behalf but the final commercial contract for the goods is between you and the supplier. We do not guarantee supplier performance beyond our best-effort due diligence and on-site oversight. Where we have negotiated a written quality standard, we will act to enforce it.

5. Quality and inspection

Where our engagement includes quality control or warehouse inspection, we will document findings in a written warehouse report. Refunds or claims for defective goods are handled between you and the supplier; we assist in negotiating resolution but cannot guarantee outcomes.

6. Shipping and delivery

Freight timelines are estimates only and depend on carriers, customs, and factors outside our control. Title and risk pass to you according to the Incoterms stated on the commercial invoice (typically FOB China). We are not liable for delays or damage occurring after goods are handed to the carrier.

7. Client responsibilities

  • Provide accurate product specifications, target quantities, and budgets.
  • Respond promptly to clarifying questions so projects stay on schedule.
  • Ensure your intended use of the goods is legal in your destination market.
  • Comply with all import regulations and duties in your country.

8. Cancellations and refunds

Service fees paid for work already completed (e.g. supplier sourcing research, sample procurement, factory visits) are non-refundable. Fees paid in advance for work not yet started will be refunded in full, less any unavoidable costs already incurred. Deposits held with factories follow the factory's own cancellation terms, which we will disclose to you.

9. Confidentiality

We treat your product specifications, designs, and business information as confidential. We will not share them with third parties except as necessary to deliver the services you've engaged us for.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from our services is limited to the service fees you paid us for the specific project in question. We are not liable for indirect, incidental, or consequential losses.

11. Termination

Either party may terminate an engagement at any time with written notice. Fees earned and costs incurred up to the termination date remain payable.

12. Governing law

These Terms are governed by the laws of the People's Republic of China. Disputes will first be attempted in good-faith negotiation, then mediation, and finally in the courts of Guangzhou if unresolved.

13. Changes

We may update these Terms from time to time. Material changes will be communicated in advance. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
